Terms of sale

The agreement between you and DOUBLENING when you buy hardware, subscribe to the platform, or commission engineering work from this site. Project work is normally governed by a signed master agreement; these terms apply where there is not one.

Last updated: October 1, 2026

1. Who you are contracting with

This site is operated by DOUBLENING INC, a California general stock corporation (File No. B20250167752) trading as DOUBLENING, with its registered office and integration bench at 440 E Huntington Drive, Ste 300, Arcadia, CA 91006. By placing an order or accepting a quotation you agree to these terms. Where a signed master services agreement exists, that agreement prevails over these terms.

2. Three things are being sold, under three sets of rules

Hardware is sold outright. The platform is licensed as a subscription and is never sold. Engineering services are performed under a statement of work. These terms apply to all three, but the warranty, liability and termination provisions differ and are set out separately below — a plant that buys a gateway and no subscription is not bound by subscription terms.

3. Orders and acceptance

Submitting an order is an offer to buy, not a completed contract. We accept the order when we send the dispatch confirmation. Where stock, pricing or freight turns out to be wrong we may decline and refund in full, and we will tell you why rather than quietly cancelling. A purchase order received from an approved account is accepted on acknowledgement, not on receipt.

4. Prices, tax and freight

Prices are in US dollars, ex-works Arcadia, California unless a quotation states otherwise. Sales tax and applicable exemption certificates are handled at order. Freight is quoted per release and shown before you commit — it is never added afterwards. Project pricing is valid for 30 days from the quotation date, after which component lead times may change the number.

5. Payment and credit

Card and ACH orders ship once funds clear. Net 30 and Net 45 are available to approved accounts within the credit limit set at approval. Overdue invoices carry 1.5% interest per month. We may suspend deliveries and platform access on an account more than 60 days past due, after written notice — we will not switch off a plant's alarms without warning.

6. Risk and title

Title and risk of loss pass on delivery, or on collection from Arcadia. Note freight damage on the carrier's receipt before signing; after signature the carrier's liability is closed and we cannot reopen it. See Delivery & installation for the receiving process.

7. Site access, safety and scope boundaries

Where we perform installation, the customer provides safe access, isolation of circuits where required, and a competent person to escort our crews. Primary power shutdowns, structural work, conduit and tray beyond the stated allowance, and inter-building cabling are by others unless the statement of work says otherwise. That boundary is written into every quotation before signature, because a change order in week two is the fastest way to lose a plant's trust.

Our crews work to the customer's site safety rules and to OSHA requirements, whichever is stricter. We will stop work and escalate rather than proceed into an unsafe condition, and a stop for safety is not a delay attributable to us.

8. Installation and fitness for purpose

Electrical work is performed by licensed electricians in accordance with the National Electrical Code and the authority having jurisdiction. We do not certify an installation we did not perform. Where the customer installs, the customer is responsible for confirming that a device suits the circuit: voltage, current rating, breaking capacity, conductor size and the CT opening. Any figure we publish is a design figure, and the panel schedule governs.

9. Hardware warranty

Hardware carries a three-year limited warranty from delivery against failure in normal use, as set out in Warranty & SLA. The warranty transfers with the site. Except for that, and to the extent permitted by law, hardware is sold without additional warranty and we disclaim implied warranties of merchantability and fitness for a particular purpose. Nothing here limits rights under Ohio law that cannot be waived.

10. Software licence, data and exit

The platform is licensed, not sold. Subscription terms are annual and renew unless cancelled with 30 days' notice. The customer owns its data. Tag definitions export to CSV and JSON, historical data exports in bulk without charge, and on termination we provide a final export and retain data for 90 days before deletion. Devices continue to operate on their native protocols without our gateway in the path — that is a contractual commitment, not just a design claim.

We do not sell customer data, do not use site data to train models for other customers, and do not access a customer's video unless asked to or required by law. Retention periods are configurable per customer.

11. Engineering services and intellectual property

Drawings, point schedules and as-builts produced for a project are delivered to and owned by the customer on final payment. We retain ownership of our pre-existing tools, firmware and platform code, and of generic design patterns reused across projects. Commissioning an integration does not transfer a licence to our firmware source.

12. Performance claims and measurement

Where a project includes a savings commitment, savings are measured against a metered baseline established before any control is enabled, using the measurement boundary stated in the statement of work. Savings are not warranted where production volume, operating hours or tariff structure change materially, or where the customer alters setpoints or schedules outside the agreed control strategy. If a savings figure cannot be evidenced against the baseline, we do not report it.

13. Limitation of liability

To the extent permitted by law, our total liability arising from an order is limited to the greater of the amount paid for the goods or services giving rise to the claim, or the fees paid in the twelve months before the claim. We are not liable for lost production, lost profit, penalty clauses, delay or consequential damage. Nothing in this clause limits liability for death or personal injury caused by negligence, or for fraud.

We carry general liability and professional indemnity insurance and provide a certificate naming the site as additional insured on request.

14. Returns and RMA

Returns, warranty claims and service levels are governed by Warranty & SLA, which forms part of these terms.

15. Partner accounts and deal registration

Partner pricing is confidential and is offered on the basis that it is not published or resold. Registered opportunities are protected for 90 days from registration. We may suspend a partner account for non-payment, for misrepresenting a registered opportunity, or for conduct that puts a customer's installation at risk.

16. Export control and sanctions

Products and technical data are subject to US export control law. The customer confirms it is not located in, or acting on behalf of, a sanctioned jurisdiction or party, and will not re-export hardware or firmware contrary to the Export Administration Regulations. Where a destination or end use requires a licence, we will say so before accepting the order rather than after.

17. Anti-bribery

We comply with the Foreign Corrupt Practices Act and expect the same of partners and subcontractors. Neither party will offer or accept anything of value to influence a procurement decision, and we will terminate a partner relationship where that is not observed.

18. Acceptable use

You may not scrape the catalogue, resell platform access, attempt to circumvent pricing or access controls, or use the site in a way that interferes with other customers. Security testing of the platform requires written authorisation.

19. Governing law

These terms are governed by the laws of the State of Ohio. Disputes will be heard in the state or federal courts sitting in Franklin County, Ohio. Before filing, please email us — a meaningful share of what looks like a contractual dispute turns out to be a protocol mismatch and can be fixed in a day.

20. Changes

We may update these terms. The version in force is the one published when you place an order. Material changes are announced on this page with a new date at the top.
